Masimo Corporation (NASDAQ: MASI), the parent company of Sound United, announced its financial results for fiscal 2022, third quarter this week, which covers the 90-day period ending on October 1, 2022. Results for the company, which makes and sells medical equipment and AV products, were mixed, showing good growth in revenues (sales) but a decline in earnings (profits).

Politan Capital Management LP filed an amended Schedule 13D to report to the Securities and Exchange Commission (SEC) two important actions the activist investment company had recently taken. One of those actions was that it had increased its holdings of Masimo Corporation (NASDAQ: MASI) to 4,648,869 shares or nearly 9% of the company’s outstanding shares – making it a significant owner. And the second action? Politan has filed a “Verified Complaint” against the company and its Board of Directors – and boy, that complaint is a doozy!

As someone who is always looking for a good story, going to a trade show with hundreds of exhibits is a bit like trying to take a sip of water from a fire hose. Nonetheless, I was able to discover several stories I found particularly interesting and I hope you’ll like them too.
Masimo, a medical products company that acquired Sound United in February 2022, announced on Monday that it is naming Blair Tripodi as Chief Operating Officer (COO) for its new Consumer division. At this time, the Masimo Consumer division consists almost exclusively of the Sound United business. Tripodi moves into the role originally given to former Sound United CEO Kevin Duffy, although Duffy was offered the title of President.
Masimo Corporation (NASDAQ: MASI), a global designer and producer of medical products and associated services that recently acquired Sound United, reported its second quarter fiscal 2022 results this week. With this filing, we get to see real data on the size and performance of Sound United, which the company acquired in April.
On April 11, 2022, Masimo Corp. appointed Kevin Duffy – then CEO of Sound United – President of the Consumer Division of Masimo Corp. as part of its $1 billion acquisition of Viper Holdings Corp., Sound United’s parent company. Duffy was offered a fairly rich package, with salary and certain other benefits and perks that could be worth millions of dollars, in some cases after a vesting period.
Then, just ninety days later, the company filed paperwork with the SEC saying that it had terminated Duffy “without cause.”
Sound United, LLC, one of the audio industry’s leading providers of high-quality branded electronics and loudspeaker products, announced late Wednesday that it is being acquired by Masimo Corporation, a global provider of medical products, in a deal valued at $1.025 billion. The two companies have entered into a definitive agreement in a transaction that is expected to close later in 2022.
In an internal email circulated to company employees on Monday, Joel Sietsema, Sound United’s Brand President of Marantz and Classé, announced a “change to the leadership structure of the Marantz and Classé organization.” That change is a big one – Dave Nauber, leader of the Classé brand for nearly 20-years, will be leaving the company at the end of March, “to pursue new opportunities.”
Major industry player Sound United is on the cusp of launching its first-ever virtual event called, appropriately enough, “Inside Sound United” (ISU). Coming November 9-12, 2021 to a computer near you, this highly immersive 4-day virtual event will be chock full of useful content and allow integrators to experience a side of the company not usually seen.
What a crazy couple of weeks it has been for exhibitors of CEDIA Expo 2021, and also for potential attendees who watched a slow-motion train wreck unfold right in front of their eyes. It was almost exactly two weeks ago – on August 10th – when Savant CEO Robert Madonna suddenly announced that Savant was pulling out of CEDIA, due to concerns over the surging infections from the Delta variant of COVID-19.
Little did we know then that this was the trickle before the flood…
