Nortek Sold to British Investment Company

Melrose logoThe summer continues to heat up with the second major acquisition announcement in two days. Melrose, PLC, a UK-based investment company that buys underperforming companies, improves their operations, and then resells them, has acquired Nortek, Inc. in a deal that pays Nortek shareholders $86 per share – a 38% premium over yesterday’s closing price. The deal, an all-cash offer, is expected to close by the end of August.

AVC Generates an Operating Loss on a 17.8% Decline in Sales

Nortek LogoNortek, Inc. (Nortek) released their results for the 2016 fiscal first quarter and generally showed broad improvement,with sales gains and profit improvements in most of their segments. But not in the Custom and Commercial Air segment which had a sales decline; and especially not in their AVC segment, which saw continued sales declines and generated a loss from operations.

Nortek Fiscal 2015 Q4 & Full Year Results are Mixed; AVC is Still Sliding

Nortek LogoNortek, Inc., a diversified manufacturer that through its Core Brands division markets several brands in the custom integration channel, released this week its fiscal 2015 fourth quarter and full year results. Overall, the results were mixed, as the company continues to struggle through a huge consolidation and experience shifts in its sales mix.

But one thing that remains clear is that their AVC segment, the segment that contains the Core Brands businesses, is continuing to struggle with a dramatic sales decline (27.1% decline in the quarter – 20.5% sales decline for the year) and increased losses ($20.8 million loss for the year as compared to a $19.2 million loss for 2014, ).

Wall Street Reacts to Negative Nortek Q3 Numbers; AVC Sales Drop 36.8%

Company Blames Declines on ‘Negative Impact’ of United Technologies Unsuccessful Acquisition Bid

Nortek's HeadquartersNortek, Inc. stock dropped more than 9.3% in early afternoon trading Wednesday in the wake of a report released by the company after the close of business Tuesday showing results for their fiscal third quarter. With sales and profit declines in key business segments – as well as for the company overall – it appears that Wall Street analysts are growing tired of waiting for the promised benefits of the company’s multi-year restructuring program, begun four years ago.

The company reported overall sales for the quarter of $618.5 million or 3.8% below the $642 million booked in the third quarter last year. The profit picture was even bleaker with a net loss of $14.4 million in the quarter this year as compared with a net profit in the quarter last year of $4.6 million.

Surprisingly, the AVC division saw sales drop an astonishing 36.8% to $30.1 million – well off the $47.6 million in the quarter last year – in the wake of the spin-off of TV One and the company’s exit from commercial AV businesses.

Nortek Calls Off Discussions with United Technologies

Nortek LogoNortek, Inc. announced late Thursday that it has called off talks with an unnamed party who had tendered an unsolicited offer. According to the Wall Street Journal and as we had previously reported, that suitor was United Technologies. Nortek stock closed Friday at $63.97/share or off 3.8%,  on a day when the Dow was up .2%.

Nortek’s AVC Segment in Q1: Less Loss, But Sales are Still Sliding

Nortek LogoNortek Inc. released their fiscal first quarter results this week and they were mixed at best. The company showed a sales increase to $572.7 million, up 4.5% over the $547.8 million booked in the first quarter of 2014. However, the company saw its net losses increase from $8.6 million last year to $13.9 million in the quarter this year. And when it comes to Nortek’s AV businesses, sales in the quarter declined another 9.5%, although the loss attributable to this segment did show some improvement to less of a loss.

Nortek Releases Q3 Results; Has AV Turned a Corner?

Nortek LogoNortek, Inc., a diversified manufacturer of commercial and residential products largely targeted towards the new construction business, announced on Monday the financial results of the third quarter of their current fiscal year. Overall, the results were mostly positive, although two of their business units saw revenues decline in the quarter. Nortek’s Struggling AV Division Forces Company to Book a $46.2 Million Q2 Net Loss; Burke is Out

Nortek LogoNortek Inc. released yesterday the financial results for their fiscal second quarter and first half showing a solid overall sales gain of 13.9% to $718.6 million, up from $630.7 million in the same quarter last year. Sales increased at a more moderate pace for the first half, coming in at $1.266 billion or 10.1% higher than the $1.149 booked last year.

But in a bit of a surprise, the company chose to break out the results of their AV division separately – clearly exposing what many had suspected for  a couple of years now – this division is in serious trouble. Even more surprising, in a filing with the SEC, the company revealed that Sean Burke, Group President of the Technology Solutions Group is leaving the company “to pursue other interests.”

Nortek Q1 Sales Grow in All Major Segments, But AV Sales Continue to Decline

Nortek LogoNortek, Inc. released financial results for their fiscal first quarter this week. As a widely diversified provider of largely building-related products, the company noted marked improvement in several key areas over the same quarter last year. With an overall quarterly sales increase from $519.1 million last year to $550.1 million this year, sales increased 6%. But the company still lost money in the quarter – though the loss was less than last year.

Nortek Q3 Results: The Road to Success Remains Really, Really Bumpy

Troubling TidbitsOn Thursday last week, Nortek, Inc. released the financial results for its third quarter (ending September 28, 2013) as well as their nine-month YTD results – and on the following Friday convened a conference call with analysts to discuss them. While management put a positive spin on these results, one didn’t have to look very hard to see some glaring bumps Nortek is experiencing on their challenging road to success through restructuring and reorganization.

You can almost hear it in Michael J. Clarke’s voice when he said: “Nortek’s net sales and underlying operating performance for the third quarter were consistent with our expectations.” Not exactly the rousing proclamation of success we typically hear on their conference call for industry analysts.
