Management expressed satisfaction with 2025’s results, which it says were achieved despite several challenging headwinds impacting performance.

The company is also still struggling to more fully integrate Voxx International, acquired back in April 2025, into its operations and forward planning.

Gentex Corporation (Nasdaq: GNTX) has reported its financial results for the second quarter of Fiscal 2025, the 90-day period that ended on June 30, 2025. For the most part, results looked better than initially expected, although much of the upside improvement in revenues was largely thanks to the acquisition of VOXX Int’l, the company that owns audio brands Onkyo, Integra, and Klipsch as well as other automotive electronics brands. That acquisition closed on April 1, the first day of the second quarter.
However, the profit contribution of VOXX was a different story.

Note that these results do not include the Voxx et. al. acquisition in its numbers, as that merger did not close until April 1, 2025. Gentex reported declines in sales, gross profit dollars, income from operations, and net income.
And all that happened before the new tariffs launched by the Trump administration took effect in full force.
On Monday, March 31, 2025, Voxx International Corp. held a special meeting of stockholders who voted “overwhelmingly” in favor of the final closing of its acquisition by auto parts maker Gentex. According to an announcement by the company, “With all regulatory and stockholder approval obtained and all closing conditions met” the transaction is now closed and Gentex now owns Voxx lock, stock, and barrel.

It is a sobering report of a company struggling to get to the altar with Gentex while its financial foundation is increasingly shaking.
The surprising results answer some questions, yet raise others as revenues continue to decline and losses mount.

Voxx International Corporation (Nasdaq: VOXX) has filed papers with the Securities and Exchange Commission (SEC) informing them that the company will be late in filing its latest Quarterly Report. It has separately notified the SEC of new “Compensatory Arrangements” with certain officers of the company. The subject of the first filing is a regular Quarterly Earnings report – which is mandated by securities regulations. The delayed report Voxx is referring to is its normal earnings report for the quarter ending November 30, 2024.
The second filing – a Form 8-K – details certain changes to the employment agreements of CEO/President Pat Lavelle, Senior VP/COO/CFO Lorianne Shelton, and Senior VP/Treasurer Charles M. Stoehr.
VOXX International Corporation (Voxx) (NASDAQ: VOXX), a manufacturer and distributor of a wide range of automotive and consumer electronics products, late on Tuesday released its second quarter of fiscal 2024 financial results for the period ending August 31, 2023. These results mostly echoed those of its first quarter and the company says it is still dealing with multiple negative macroeconomic factors such as a durable drop in consumer spending, inflated retail inventories, a UAW strike, and remaining supply chain challenges. However, the results in the second quarter were slightly more moderate than in the first quarter and there was a modest improvement on a sequential basis.
